Kent & East Sussex Gig Guide Standard Terms and Conditions

This Agreement is between YOU (Hereinafter referred to as 'the Venue') and RED ADMIRAL RECORDS LLP trading as KENT & EAST SUSSEX GIG GUIDE and KENTGIGS.COM of THE CEDARS. ELVINGTON LANE. HAWKINGE. FOLKESTONE. KENT.CT18 7AD (hereinafter referred to as 'Gig Guide')
WHEREBY IT IS AGREED
The Venue wishes to promote public and/or private functions/live music/disco/karaoke/events hereinafter referred to as 'Gig entry' through the services of Gig Guide IN CONSIDERATION of a fee paid by the Venue to Gig Guide in advance by cheque, money transfer or internet payment or payable on accepted accounts within 14 days of issue of any invoice/ statement issued by Gig Guide. It is the responsibility of the Venue participating as an on-line client or managed account client to supply the Gig Entry information in time to suit the deadline for the anticipated display time and place.

THE VENUE:
Online :
Gig Entry information submitted on-line pre-paid in advance by cheque or Internet payment to Gig Guide. Venues will pay the fees as described in the entry forms as appertaining on the date entries are made. (Gig Giude and/or associates have the right to refuse to list, delete all or omit details from the Gig entry information or add comment description enhance the entry or prevent mis-leading readers. The information and email adress of the sender given may be entered into our database/computers for the purposes of this agreement.)

Managed Account :
(a) Venue will pay to the Gig Guide the following fees.
-(i) for inclusion in Gig entry lists, prepaid or already transmitted by Gig Guide as indicated on invoices - the current fee per Gig entry ( at date of agreement £3.00 per Gig entry)
-(ii) revised fee payable on future invoices/statements.( Gig Guide will give 2 weeks notice by letter of any proposed increase in the current fee per Gig entry.)
(b) will give 2 week notice by letter of any changes to permanent or continuous Gig entries that do not require a weekly update - for example where Venue has a disco every Wednesday.
(c). hereby agrees that:
-(i) Gig Giude and/or associates have the right to refuse to list, delete all or omit details from the Gig entry information or add comment description enhance the entry prevent mis-leading readers.
-(ii) Information given or announced by staff/family/manager/agent or delegate of the Venue to Gig Guide on the telephone/by letter/fax/inernet is to be treated as legitimate Gig entry information for which the current fee will be paid.
-(iii) In the event that the ownership of the Venue premises/business/management is to be changed, the Venue will give Gig Guide a minimum of 2 weeks notice by letter to enable final invoices to be prepared.
-(iv) The information given may be entered into our database/computers for the purposes of this agreement.

GIG GUIDE: will -
Subject to the limiting provisions and exceptions herein contained.
1. Enter and distribute details of the Gig entry in any/many periodic publication/databases within the control of Gig Guide. The said publication may be in the form of a list/story/feature/editorial/advert distributed by verbal /paper /electronic/ internet/ magnetic/ visual media and/or by any other device used by Gig Guide or associates now or in the future. (Normal distribution of Gig entry lists is by e-mail and internet transmission letter or fax. The information contained is then used by participating associates in their own media).
2. Supply Gig entry lists to our associates on a weekly basis in time to meet their deadlines on the basis that in the case of newspapers we normally transmit our information over Monday night for media publication dates on a Sunday 13 days later. (Gig entry lists run from Sunday to Saturday)
3. Maintain a deadline-at present 6pm on Mondays 13 days before Sunday media publication date. (One week earlier, when that Monday falls on a Bank/Public Holiday) Special deadlines will apply for staff holidays and Christmas.
4. Provide an answerphone service on one of our telephone lines to enable venues to supply/change Gig entry information outside of our office hours.
5. Confirm by telephone with the Venue or delegate upon receipt of answerphone messages to help prevent spoof calls.
6. Use personal data in a confidential manner.
7. Process online submissions only after sufficient information and payment has been received and processed, after which no refunds will be given.
8. Try to to contact account client Venues around our deadline when there may be obvious gaps in the Gig entry information the Venue normally supplies or Gig Guide may collect from Venue's website.

Gig entries will not be published on behalf of or for persons premises companies organisations buildings bands promoters that Gig Guide has deemed blacklisted. A refund will be made where possible in the case of prepayments.

DURATION OF THE AGREEMENT
The agreement will commence on the date of the Venue signature oe email message or internet form and will continue unless terminated by Gig Guide or by the Venue after all fees for Gig entries have been paid. For prepaid Gig Entry, termination is deemed to be automatic after transmission of the gig Entry.

If any part of this agreement shall be invalid or unenforceable it shall not affect the validity of the balance of this agreement. The waiver by either party of any breach of this agreement shall not in any way be construed as a waiver of any subsequent breach whether similar or not, by either party. All words herein in the singular shall be deemed to include the plural and all words in the masculine shall be deemed to include the feminine but shall not be used to change the intent or context of this agreement. It is the responsibility of the Venue or their delegate/s to supply the Gig entry information to be promoted by Gig Guide. Gig Guide will not be held responsible for printing/spelling/typographical errors/omissions in our Gig list or our associate's publications. This agreement shall be governed and interpreted in accordance with the Law of England.
